These Terms of Service ("Terms") govern your use of the BeachClubs platform, including our website www.beachclubs.ae and related services (collectively, the "Platform" or "Services"). By accessing or using our Platform, you agree to be bound by these Terms.

2. Platform Overview

2.1 Our Services

BeachClubs operates an online platform that provides:

• Discovery Service: Search and explore beach clubs, pools, and related venues across the UAE
• Booking Service: Facilitate reservations and bookings with partner venues
• Information Service: Provide venue details, pricing, availability, and user reviews
• Review System: Allow users to share feedback about their experiences after visits

2.2 Platform Model

We operate as an intermediary platform connecting users with beach club venues. We do not own or operate the beach clubs listed on our Platform. All bookings are subject to the terms and conditions of the individual venues.

2.3 Venue Information Accuracy

• Verified Profiles: Venues with a "verified" badge manage their own content. While we publish this information, we do not verify its accuracy and are not responsible for any inaccuracies.
• Unclaimed Profiles: Profiles marked as "unclaimed" may contain outdated or inaccurate information and photos. We cannot be held accountable for the accuracy of unclaimed profile content.
• Content Disputes: Any disputes regarding venue information accuracy must be resolved directly between you and the venue.

3. Booking Process and User Information

3.1 Booking Requirements

To make a booking through our Platform, you must provide:

• Your full name
• Valid email address
• Phone number for booking confirmations and venue contact
• Agreement to these Terms and the specific venue's terms and conditions

3.2 No Account Required

Currently, users do not need to create an account to use our booking services. However, we reserve the right to implement user accounts in the future with appropriate notice.

3.3 Age Requirements

You must be 18 years or older to make bookings through our Platform. By making a booking, you confirm that you meet this age requirement.

4. Bookings and Reservations

4.1 Booking Process

When you make a booking through our Platform:

• You enter into a contract directly with the venue
• We process the booking and payment as merchant of record; the venue provides the booked service.
• Confirmation is subject to venue availability and acceptance
• You must comply with venue-specific terms and policies

4.2 Pricing and Payments

• All prices are displayed in UAE Dirhams (AED) unless otherwise stated
• Prices include applicable taxes and fees unless specified
• Payment Processing: All payments are processed securely through Stripe, our payment provider. We do not store your payment card details
• Who takes the payment: BeachClubs LLC is the merchant of record for bookings made through the Platform. You pay BeachClubs LLC once, and the venue's share is settled to the venue automatically through Stripe at the time of payment
• Your card statement: the charge appears as BeachClubs together with the name of the venue you booked
• Refunds: where a refund is due, it is issued by us through Stripe to the card used for the booking. Refund timing depends on your card issuer, typically 5–10 business days
• Stripe's terms and conditions apply to all payment transactions

4.3 Venue Terms and Conditions

By making a booking, you agree to comply with:

• Our Terms of Service
• The specific venue's terms and conditions
• The venue's cancellation policy
• The venue's rules and regulations

• Booking confirmations will be sent to your provided email address
• Venues may contact you directly using your provided phone number for:
  • Booking confirmations or changes
  • Cancellation notifications
  • Visit-related communications
  • Emergency situations

5. User Conduct and Prohibited Activities

5.1 Acceptable Use

You agree to use our Platform only for lawful purposes and in accordance with these Terms. You will not:

• Provide false or misleading information
• Impersonate others or misrepresent your affiliation
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious software or attempt to hack the Platform
• Create multiple accounts to circumvent restrictions
• Make fraudulent bookings or payments
• Leave false or defamatory reviews
• Harass, abuse, or threaten other users or venue staff
• Use the Platform for commercial purposes without authorization

5.3 Reviews and Content

When posting reviews or content:

• Reviews must be based on actual visits to the venues
• You grant us a license to use, display, and distribute your reviews and content
• Content must be truthful, relevant, and respectful
• We reserve the right to moderate, edit, or remove content
• False or malicious reviews will result in restrictions on future Platform use

6. Venue Relationships

6.1 Third-Party Services

Beach clubs and venues listed on our Platform are independent third parties. We:

• Do not own, operate, or control these venues
• Are not responsible for venue operations, services, or policies
• Cannot guarantee venue availability, pricing, or quality
• Act solely as an intermediary for booking facilitation

6.2 Venue Disputes

Any disputes regarding:

• Service quality or venue conditions
• Venue policies or restrictions
• Safety or security issues

Must be resolved directly between you and the venue. We will assist where possible but are not liable for venue-related issues.

7. Fees and Commissions

7.1 Service Fees

We may charge:

• Booking Fees: A fee for facilitating reservations
• Service Charges: Processing fees for payments and bookings
• Commission: A percentage of the booking value from venues

7.2 Payment Terms

• All fees are non-refundable unless required by law
• Fees are clearly disclosed before booking completion
• Our commission is taken from each booking at the time the customer pays and is not collected separately afterwards. We issue the venue an invoice for it.

7.3 Venue Settlement and Stripe

• Venues that receive booking funds through the Platform must complete onboarding with Stripe and are bound by the Stripe Connected Account Agreement, which governs their Stripe account. BeachClubs LLC is not a party to that agreement
• The venue's share of each booking is transferred to the venue's Stripe account at the time of payment; BeachClubs LLC does not hold venue funds
• Bank payouts from a venue's Stripe account are made on Stripe's payout schedule to the bank account the venue registered with Stripe

8. Intellectual Property

8.1 Our Rights

The BeachClubs Platform, including all content, features, and functionality, is owned by BeachClubs LLC and protected by UAE and international intellectual property laws. This includes:

• Trademarks, logos, and brand elements
• Website design and user interface
• Software, algorithms, and technology
• Content and text we create

8.2 Third-Party Content

• Venue Photos: Photos displayed on venue profiles may be owned by the photographers and/or the venues themselves. We do not claim ownership rights to these images and they are used for informational purposes only.
• Venue Information: Content provided by verified venues remains the property of those venues. We act as a publisher of this information without claiming ownership.

8.3 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

8.4 User Content

By submitting content to our Platform (including reviews and feedback), you grant us a worldwide, royalty-free license to use, reproduce, modify, and distribute your content for Platform operations and marketing purposes.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using our Platform, you consent to the data practices described in our Privacy Policy.

10. Disclaimers and Limitation of Liability

10.1 Platform Availability

We provide the Platform on an "as is" and "as available" basis. We do not warrant that:

• The Platform will be uninterrupted or error-free
• All information will be accurate or current
• The Platform will meet your specific requirements
• Any defects will be corrected

10.2 Venue Disclaimer

We are not responsible for:

• Venue operations, services, or conditions
• Safety, security, or health issues at venues
• Venue compliance with applicable laws
• Quality of food, beverages, or services
• Venue staffing or management decisions

10.3 Limitation of Liability

To the maximum extent permitted by UAE law, BeachClubs LLC shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Personal injury or property damage at venues
• Damages arising from venue interactions or services

Our total liability for any claim shall not exceed the fees you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BeachClubs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your interactions with venues or other users
• Any content you submit to the Platform

12. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or government actions
• Technical failures, internet outages, or cyber attacks
• Venue closures or operational changes
• Changes in laws or regulations

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Sharjah, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Sharjah, United Arab Emirates.

13.3 Alternative Dispute Resolution

Before starting court proceedings, the parties will first try to resolve the dispute in good faith by direct negotiation.

14. Termination

14.1 Termination by You

You may stop using our Platform at any time. Note: Outstanding bookings and obligations remain in effect even if you stop using the Platform.

14.2 Termination by Us

We may restrict or suspend your access to the Platform for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Platform or its users
• Non-payment of fees
• At our discretion with reasonable notice

14.3 Effect of Termination

Upon termination:

• Your access to the Platform will cease
• Outstanding bookings remain valid subject to venue policies
• Certain provisions of these Terms survive termination

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeachClubs LLC regarding the Platform.

15.2 Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other Terms.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
